Introduction & acceptance

These Terms of Service (“Terms”) govern your use of the website at artemetic.com and any communications you have with Antaya Projects LLP, trading as Artemetic (“we,” “our,” or “us”) — a Limited Liability Partnership registered under the Limited Liability Partnership Act, 2008 (LLPIN ABA-1277), having its registered office at W1A 106 Wellington Estate, DLF City 5, Gurugram, Haryana 122009, India, and its operating studio at 2nd Floor, Ansal Time Square, Sector 43, Gurugram, Haryana 122009, India.

By accessing or using the website, contacting us, or engaging our services, you agree to these Terms. Where we sign a separate proposal, statement of work, or engagement letter with you, the terms of that signed document take precedence over these Terms for that engagement.

Website use

You must be at least 18 years old to use the website on your own behalf. If you are using the website for a business, you confirm that you have authority to bind that business to these Terms.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access the website for personal or internal business purposes. You agree not to:

  • Scrape, mirror, or systematically copy the website
  • Reverse engineer, decompile, or attempt to extract source code
  • Use the website to transmit malicious code, conduct security attacks, or interfere with its operation
  • Misrepresent your identity or impersonate Artemetic
  • Use the website in any way that violates applicable law

Studio engagements

Enquiries made through the website, WhatsApp, email, or phone are not, by themselves, binding offers or acceptance of work. A studio engagement begins only when both parties sign a written proposal, statement of work, or engagement letter (collectively, an “Engagement Document”).

Each Engagement Document describes the specific scope, deliverables, timeline, fees, and payment milestones for that project. These Terms apply alongside the Engagement Document; in the event of a conflict, the Engagement Document prevails for that engagement.

Payments

Fees, payment milestones, and currency are set out in the Engagement Document. Unless otherwise stated, invoices are payable within 15 days of issue, and goods and services tax (GST) or equivalent taxes are charged in addition to the quoted fees.

Late payments may, at our discretion, accrue reasonable interest and/or result in work being paused until the overdue amount is settled. Reasonable third-party costs incurred on your behalf (e.g., materials, vendor bought-outs, licences) will be billed through and are payable on the same terms.

Intellectual property

The website’s content, design, brand marks, and code are owned by Artemetic and protected by applicable intellectual property laws. Nothing on the website grants you a licence to those marks or content beyond what is reasonably required to browse the site.

For commissioned work, ownership of final deliverables transfers to you on full payment of the relevant fees, except for: (a) our pre-existing tools, templates, and methods; (b) third-party assets licensed under their own terms; and (c) anything specifically excluded in the Engagement Document.

We may use completed, published work in our portfolio, case studies, and pitches. Where the work has not yet been publicly launched, we will respect any reasonable confidentiality window agreed in writing.

Confidentiality

Information you share with us in the course of scoping or running a project — including strategy, financials, and unreleased product or brand decisions — is treated as confidential. We will use it only to deliver the engagement and will not disclose it to third parties except to our advisors, sub-contractors, and vendors who are themselves bound by confidentiality.

Standard exclusions apply: information that is already public, independently developed, or required to be disclosed by law or a court order is not treated as confidential.

Communications

We use WhatsApp, email, and phone for both inbound enquiries and ongoing project communication. By contacting us through any of these channels, you consent to us responding on the same channel and to the processing of your messages as described in our Privacy Policy.

Marketing messages on WhatsApp are sent only to people who have explicitly opted in. You can opt out at any time by replying STOP on WhatsApp or emailing privacy@artemetic.com.

We aim to respond to enquiries within two working days, but make no guarantee of response times for unsolicited messages.

Disclaimers & limitation of liability

The website is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, our aggregate liability arising out of or relating to these Terms or your use of the website is limited to the greater of: (a) the fees paid to us under the relevant Engagement Document in the 12 months preceding the claim, or (b) ₹50,000.

We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, goodwill, or data, even if advised of the possibility of such damages. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

Indemnification

You agree to indemnify and hold Artemetic, its founders, employees, and contractors harmless from any claims, losses, damages, and reasonable legal fees arising out of your misuse of the website, your breach of these Terms, or your violation of any law or third-party right.

Termination

We may suspend or terminate your access to the website at any time for breach of these Terms or to protect the integrity of the site. Engagement-specific termination, notice periods, and wind-down terms are set out in each Engagement Document. Sections of these Terms that by their nature should survive termination (including Intellectual Property, Confidentiality, Disclaimers, Limitation of Liability, Indemnification, and Governing Law) will survive.

Governing law & dispute resolution

These Terms are governed by the laws of India, without regard to conflict-of-laws principles. Subject to the dispute resolution process below, the courts at Gurugram, Haryana have exclusive jurisdiction over any disputes arising out of or in connection with these Terms.

Before commencing court proceedings, the parties will first attempt to resolve any dispute through good-faith discussion for at least 30 days. If a dispute cannot be resolved through discussion, the parties may agree to mediation or arbitration in Gurugram before turning to the courts.

Changes to these terms

We may revise these Terms from time to time. Changes will be posted on this page with a refreshed “Last updated” date. Material changes will be highlighted at the top of the page. Continued use of the website or our services after a change takes effect constitutes acceptance of the revised Terms.
